Night Audit Terms and Conditions.

Service Description

Night Audit provides hospitality intelligence briefings, including hotel market, technology, operator, investment, brand, distribution, vendor, and workforce insights. Briefings may be delivered through the website, email, SMS, or other approved channels.

SMS Campaign Terms

By providing your mobile number and separately opting in, you agree to receive recurring automated informational SMS messages from Night Audit with hospitality intelligence brief alerts, beta access notices, account updates, reminders, and service notices.

The current Night Audit SMS campaign is informational only. Marketing or promotional SMS consent is not collected through this workflow, and promotional messages will not be sent under this campaign.

Message frequency varies based on your preferences and account status. For the SMS briefing campaign, expect approximately 3-5 messages per week unless you choose a different delivery cadence.

Message and data rates may apply. Consent to receive SMS messages is not required as a condition of purchase or service. Reply STOP to opt out at any time. Reply HELP for help.

No mobile information or messaging consent is shared with third parties or affiliates for marketing or promotional purposes.

Opt-In and Opt-Out

You may opt in through a Night Audit signup form, invitation flow, keyword flow, or other approved consent mechanism. Website opt-in uses a standalone SMS checkbox that is unchecked by default and is not required to request access, create an account, complete a purchase, or use the service. We may require confirmation before activating SMS delivery.

If you reply STOP, we will process the opt-out and stop sending SMS messages to that number except for legally permitted confirmation or administrative messages. If you reply HELP, we will provide assistance or contact information.

User Responsibilities

You agree to provide accurate contact information, use Night Audit for lawful purposes, and not misuse, scrape, reverse engineer, interfere with, or attempt unauthorized access to the service.

You are responsible for maintaining access to the email address or phone number used for authentication and delivery.

Content and No Professional Advice

Night Audit briefings are editorial and informational summaries of hospitality industry developments and publicly available information. They are not legal, financial, tax, investment, or professional advice.

You are responsible for your own business decisions and should consult qualified advisors before relying on any information for legal, financial, investment, or operational decisions.

Accounts and Access

Night Audit may operate as a private beta, waitlist, invitation-only, or subscription service. Access may be approved, limited, suspended, or terminated at our discretion if the service is misused or if access is no longer available.

Intellectual Property

Night Audit, its branding, product design, software, briefing format, and original content are owned by Night Audit or its licensors. You may use Night Audit content for your internal business review, but you may not resell, republish, or redistribute it as a competing product without written permission.

Third-Party Services

Night Audit may use third-party providers for hosting, analytics, authentication, email delivery, SMS delivery, payment processing, and support. Those providers may process information as described in our Privacy Policy.

Availability and Changes

We may modify, suspend, or discontinue any part of Night Audit at any time. We may also update these Terms and Conditions by posting a revised version with a new effective date.

Disclaimers and Limitation of Liability

Night Audit is provided as is and as available. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

To the maximum extent permitted by law, Night Audit will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, business interruption, or reliance on briefing content.
